Terms and Conditions for Website Maintenance Packages
1. Introduction
These Terms and Conditions govern the use of the website maintenance services provided by R-freshd (“Service Provider”) to its clients (“Client”). By subscribing to our maintenance packages, the Client agrees to be bound by these terms.
2. Services Provided
2.1 Scope of Services:
The Service Provider will perform maintenance tasks as outlined in the selected maintenance package, which may include updates, security checks, performance monitoring, backups, and support.
2.2 Customisation:
Additional services or custom development outside the scope of the selected package will be subject to additional charges.
2.3 Service Availability:
Maintenance services will be provided during the Service Provider’s standard business hours, except for the Premium package which includes 24/7 support.
3. Client Responsibilities
3.1 Access:
The Client must provide the Service Provider with all necessary access to their website, including login credentials, to perform the maintenance tasks.
3.2 Content:
The Client is responsible for providing updated content, images, and other materials for their website as needed.
3.3 Backups:
While the Service Provider will perform regular backups as specified in the package, the Client is also encouraged to maintain their own backups.
4. Payment Terms
4.1 Fees:
The Client agrees to pay the fees associated with their selected maintenance package. Fees are due monthly in advance and are non-refundable.
4.2 Late Payments:
Late payments may result in suspension or termination of services until the account is brought up to date.
4.3 Price Changes:
The Service Provider reserves the right to change the fees for maintenance packages with 30 days’ notice to the Client.
5. Term and Termination
5.1 Term:
The maintenance agreement will commence on the date the Client subscribes and will continue on a month-to-month basis until terminated by either party.
5.2 Termination:
Either party may terminate the maintenance agreement with 30 days’ written notice. Termination does not relieve the Client of any outstanding payment obligations.
5.3 Immediate Termination:
The Service Provider may terminate the agreement immediately if the Client breaches any of these Terms and Conditions.
6. Liability and Warranty
6.1 No Warranty:
The Service Provider makes no warranties, express or implied, regarding the maintenance services, including but not limited to any implied warranties of merchantability or fitness for a particular purpose.
6.2 Limitation of Liability:
The Service Provider shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the maintenance services, even if advised of the possibility of such damages. The total liability of the Service Provider for any claims arising under this agreement shall not exceed the fees paid by the Client in the three months preceding the event giving rise to the claim.
7. Confidentiality
7.1 Confidential Information:
Both parties agree to keep confidential all information, whether oral or written, obtained from the other party that is designated as confidential or that should reasonably be understood to be confidential.
8. Miscellaneous
8.1 Governing Law:
These Terms and Conditions shall be governed by and construed in accordance with the laws of the United Kingdom.
8.2 Entire Agreement:
These Terms and Conditions constitute the entire agreement between the parties and supersede all prior agreements and understandings, whether written or oral, relating to the subject matter hereof.
8.3 Amendments:
The Service Provider reserves the right to modify these Terms and Conditions at any time. Changes will be effective upon posting on the Service Provider’s website. Continued use of the maintenance services after any changes constitutes acceptance of the new terms.
8.4 Sever-ability:
If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
8.5 Waiver:
No waiver of any term or condition of these Terms and Conditions shall be deemed a further or continuing waiver of such term or any other term.
